1. Definitions
"Agreement" means these Terms & Conditions together with any project scope document or service agreement signed between the parties. "Service" means the AI consulting, development, and advisory services provided by Voltera. "Client" or "You" refers to the individual or organisation engaging Voltera's services or using this website. "We", "Our", "Us" refers to Voltera. "Content" refers to materials, data, documents, and outputs produced in the course of service delivery.
2. Acceptance of Terms
By using this website, submitting a contact form, or engaging Voltera's services, you confirm that you are authorised to enter into this Agreement on behalf of your organisation (if applicable), and that you are at least 18 years of age. Use of this website constitutes acceptance of these terms.
3. Services
Voltera provides applied AI services across energy management, automated content classification, and organisational change management. Specific service scope, deliverables, timeline, and pricing are documented in a written scope agreement prior to commencement of any engagement. Service availability is subject to capacity and mutual agreement.
4. Client Responsibilities
You agree to provide accurate information necessary for service delivery, designate appropriate contacts within your organisation, provide timely feedback during validation and review stages, and ensure that any data shared with Voltera is shared with appropriate authority and in compliance with your own data obligations. You are responsible for the accuracy and legality of data you provide to us.
5. Prohibited Use of Website
You must not use this website to transmit harmful, defamatory, or unlawful content; attempt to gain unauthorised access to our systems; use automated means to scrape or collect content without permission; or misrepresent your identity or affiliation.
6. Intellectual Property
All website content — including text, design, and code — is the intellectual property of Voltera unless otherwise stated. Upon full payment for a completed project, intellectual property in deliverables specific to your project is assigned to you, unless otherwise agreed in the project scope. Voltera retains rights to methodologies, frameworks, tools, and general approaches used in service delivery.
7. Payment Terms
Fees are as agreed in the applicable project scope document and denominated in Hong Kong Dollars (HKD) unless otherwise specified. Payment terms and milestone structure are detailed in the scope agreement. Late payments may incur interest at 1.5% per month on outstanding amounts. Voltera reserves the right to pause service delivery during extended non-payment periods.
8. Service-Specific Terms — Professional Services
Project scope defines the boundary of service delivery. Changes to scope are managed through a formal change request process and may affect timeline and fees. Voltera will flag when a requested change falls outside the agreed scope before proceeding. Post-delivery support is provided for the period agreed in the scope document.
9. Confidentiality
Both parties agree to keep the other's confidential information secure and to use it solely for the purposes of the engagement. A mutual NDA is put in place at the start of any scoping engagement. This obligation survives termination of the Agreement for a period of three years.
10. Disclaimers
Our website and services are provided as available. While we aim to maintain accuracy and availability, we make no warranties that the website will be uninterrupted or error-free. AI systems carry inherent performance variability — we will define and meet agreed accuracy criteria, but do not represent that systems will perform with absolute certainty in all circumstances.
11. Limitation of Liability
To the extent permitted by Hong Kong law, Voltera's total liability to you for any claim arising from services or website use shall not exceed the amount paid to us in the three months preceding the claim. We are not liable for indirect, consequential, or incidental losses, lost profits, or data loss arising from use of our services or website.
12. Indemnification
You agree to indemnify Voltera against any claims, losses, or expenses arising from your misuse of our services, breach of this Agreement, or provision of inaccurate or unlawfully obtained data to us.
13. Termination
Either party may terminate a project engagement with 14 days written notice. Upon termination, you will be invoiced for work completed to date. Voltera will provide all deliverables completed to the point of termination. These terms continue to apply following termination where relevant.
14. Governing Law and Disputes
This Agreement is governed by the laws of Hong Kong Special Administrative Region. Disputes will first be referred to informal resolution between senior representatives. If not resolved within 30 days, disputes may be referred to mediation or the courts of Hong Kong, to which both parties submit exclusive jurisdiction.
15. Changes to Terms
We may update these terms from time to time. Material changes will be reflected in a revised "Last Updated" date. Continued use of our website or services following such changes constitutes acceptance of the revised terms.
